The following Terms & Conditions of business are between Hamilton Recruitment (hereinafter "HR") and the Employer Client (hereinafter the "Client") and shall be deemed to have been accepted in their entirety if the Client interviews or agrees to employ any person (hereinafter "Candidate") provided, procured or introduced via HR. 1. The Client agrees to notify HR immediately a Candidate agrees to join the Client as an employee, in whatever capacity. The Client herein becomes liable to pay and shall pay a fee to HR for the introduction following the successful Candidate's engagement as laid out according to the Fee Calculation section. 2. Invoices or fees must be settled within thirty days of the date of the invoice in accordance with the payment instructions detailed on the invoice. 3. The Client and HR will both respect the confidentiality of all information exchanged between them. 4. Given the confidential nature of introductions, should the Client (or a member of the Client's staff or the Client's agent) within a twelve month period from the date of the relevant introduction pass to a third party details of a Candidate originally introduced by HR and that Candidate is subsequently engaged for employment then such engagement will render Company liable for the fee according to the Fee Calculation section provided, even though the introduction may be made indirectly. 5. The Fee Calculation section provided does not include any form of tax which will be charged in addition to said fees wherever applicable and invoiced to the Client accordingly. 6. The contract shall be governed by and construed in accordance with and take effect under English law exclusively. 7. HR shall not be liable under any circumstances for any loss damage or expense suffered or incurred by the Client arising from, or in any way connected with, HR seeking a Candidate for the Client or the introduction by HR to the Client of any Candidate. 8. Although HR makes every effort to select and introduce only suitable Candidates for interview with the Client, the Client shall notwithstanding satisfy themselves as to the suitability of any Candidate and shall take up any references provided before engaging any Candidate in employment. HR can accept no liability for the integrity of professional qualification capabilities or medical history in respect of any Candidate introduced nor are references sought unless specifically requested in writing. 9. The Client shall be responsible for obtaining work and other permits, medical examinations and/or investigations into the medical history of any Candidate, and satisfy any medical and other requirements or qualifications required by law and/or the immigration authorities. 10. Fees for the introduction service are calculated on the basis of the Fee Percentage as applied to the Gross Remuneration Package of Candidates accepted into employment. For this purpose, the Gross Remuneration Package shall be the total of the following items: gross annual starting salary plus first year bonus, commission, profit-sharing or similar monetary benefit scheme plus an amount equal to the value of any accommodation allowance applicable to the Candidate's employment. 11. The Client agrees to inform HR in writing without delay if it intends to employ a Candidate and shall, in addition, supply HR on request full details of remuneration and benefits made available to the Candidate during their first year of employment. 12. These Terms & Conditions may be varied at any time by HR. No other variation of any kind is valid unless explicitly agreed by HR in writing.Terms & conditions
